These Terms of Service ("Terms") govern your use of Canton Check, including the website at china-verify.lovable.app, the reports, the REST API and the MCP server (together, the "Service"). The Service is operated by LET ME LLC, a limited liability company organized in the State of [state to be confirmed], United States ("we", "us", "our").
By using the Service, or by creating an account, you agree to these Terms. If you use the Service on behalf of a company, you confirm you are authorized to bind that company, and "you" means that company.
1. What the Service does
Canton Check helps businesses check Chinese suppliers. It brings together:
- information that companies in China are required to make public, such as registration details, shareholders, court and penalty records, licences and filings,
- public US import records,
- information suppliers publish about themselves on B2B marketplaces.
It then presents a rules-based risk score with the reasons behind it. Our scoring methodology is published at /docs#methodology.
The Service is a research tool for business due diligence. It does not:
- verify a supplier on the ground, inspect a factory or test products,
- guarantee that any supplier is legitimate, solvent or will perform,
- give legal, financial, investment or tax advice.
2. Information accuracy
Our information comes from third-party and public sources that can be incomplete, outdated, mistranslated or wrong. Matching an English trade name to a Chinese legal entity can also be uncertain. Each report tells you which sources answered, what we could not check and which information is self-reported by the supplier. You must confirm the exact legal entity yourself, for example against the supplier's business licence, before relying on a report.
You are solely responsible for your business decisions, including whether to pay, contract with or rely on any supplier. For significant orders, we recommend independent verification such as a factory audit, an inspection or legal advice.
If you believe something in a report is wrong, tell us through the "Report an inaccuracy" button or our contact form at /contact.
3. Accounts
You can use parts of the Service without an account. If you create one:
- give accurate information and keep your login details secure;
- you are responsible for everything that happens under your account and API keys;
- tell us promptly through /contact if you suspect unauthorized use.
You must be at least 18 years old and using the Service for business purposes.
4. Free allowance and paid features
We may offer a free allowance (for example, a number of free checks and full reports per visitor) and paid features. Allowances, prices and plan features are shown on the Service and may change. Paid features that are marked "coming soon" or "early access" are not yet generally available. If and when we charge for a feature, the price and payment terms will be shown before you buy.
5. Permitted use
As long as you follow these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service and the reports it generates for your own internal business purposes, such as evaluating suppliers, onboarding vendors or advising your own clients on specific suppliers.
You must also follow our Acceptable Use Policy at /acceptable-use, which forms part of these Terms.
6. Prohibited use
You must not, and must not help anyone else to:
- scrape, crawl, bulk-download or systematically extract data from the Service, or use it to build or improve a competing database or product;
- resell, sublicense, publish or redistribute reports or data, except sharing individual report links or excerpts with people involved in your own decision;
- use the Service or any information from it to make decisions about an individual's eligibility for credit, insurance, employment, housing or any similar purpose. Canton Check is not a consumer reporting agency, and its reports are not consumer reports;
- use information about individuals named in reports (such as legal representatives or shareholders) to harass, stalk, intimidate, discriminate against or otherwise harm them;
- use the Service for unlawful purposes, including sanctions evasion, fraud or violations of export-control, privacy or data-protection laws;
- get around usage limits, quotas or access controls, share API keys, or create multiple accounts to obtain more free allowance;
- probe, attack, overload or disrupt the Service, or reverse-engineer it, except where the law expressly permits this;
- remove or obscure source labels, disclaimers or notices in reports when sharing them.
7. Our content and your content
The Service, its software, design, scoring methodology and compilations of data belong to us or our licensors. Underlying public records belong to their original publishers. These Terms do not transfer any ownership rights to you.
You keep ownership of what you submit, such as search queries, correction requests and messages. You give us permission to use it to operate, secure and improve the Service. That includes caching search and report results so that other users can benefit from faster and cheaper checks of the same company.
Feedback you send us may be used without any obligation to you.
8. Third-party sources and services
The Service relies on third-party data sources and infrastructure providers, which are listed on /data-sources and in our Privacy Policy. Their availability, accuracy and terms are outside our control, and a source may stop working or change at any time.
9. Privacy
Our Privacy Policy at /privacy explains how we handle personal information. Business customers who need a data processing agreement can request our standard DPA (see /dpa).
10. Availability and changes
We provide the Service on an "as available" basis and do not currently offer a contractual uptime guarantee; see /sla. We may change, suspend or discontinue any part of the Service. Live status of our data sources is shown at /status.
11. Suspension and termination
You can stop using the Service at any time and ask us to delete your account through /contact. We may suspend or end your access, with or without notice, if you breach these Terms or the Acceptable Use Policy, if your use creates risk or harm for us or others, or if the law requires it. Sections 2, 6, 7 and 12 to 16 continue to apply after termination.
12. Disclaimer of warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE AND ALL REPORTS ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. THIS INCLUDES ANY WARRANTIES OF ACCURACY, COMPLETENESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT ANY SUPPLIER IS LEGITIMATE OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
13. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW:
- (a) WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA OR PAYMENTS MADE TO SUPPLIERS, ARISING FROM OR RELATED TO THE SERVICE;
- (b) OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (i) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, AND (ii) USD 100.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
14. Indemnity
You will defend and indemnify us against third-party claims, and the losses and costs that result, arising from your breach of these Terms or the Acceptable Use Policy, your misuse of reports, or your dealings with any supplier.
15. Governing law and disputes
These Terms are governed by the laws of the State of [state to be confirmed], United States, without regard to conflict-of-law rules. The state and federal courts located in [state to be confirmed] have exclusive jurisdiction, unless mandatory law where you live gives you the right to bring proceedings elsewhere. Before filing a claim, each party agrees to try to resolve the dispute informally for 30 days; you can start that process through /contact.
16. General
- Changes: we may update these Terms. If a change is material, we will give notice on the Service at least 14 days before it takes effect, unless it is required sooner by law or made for security reasons. Continued use after the effective date means you accept the change.
- Entire agreement: these Terms, the Acceptable Use Policy, the Privacy Policy and any order form or DPA you sign with us are the entire agreement between us about the Service.
- Other terms: if a provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets.
